Associate - Intellectual Property
Position Summary
Correa Legal, LLC is seeking an Associate with experience in intellectual property to support our growing client base. The Associate will work on a flexible, contract basis and will be responsible for assisting with IP strategy, filings, and compliance. This role is ideal for a licensed attorney or legal professional with a strong interest in supporting early-stage companies and social enterprises.Key Responsibilities
Conduct trademark clearance searches and prepare trademark applications (USPTO and international).
Assist with copyright registrations and related filings.
Review, draft, and revise IP-related agreements, including license agreements, confidentiality agreements, and IP assignments.
Support due diligence and IP audits for corporate transactions.
Track filing deadlines and maintain IP docketing systems.
Research and provide memos on emerging IP issues relevant to startups and social enterprises.
Collaborate with other team members to ensure IP considerations are integrated into broader client work.
Qualifications
J.D. degree and admission to at least one U.S. state bar (preferred).
1–3+ years of experience in intellectual property law (law firm or in-house).
Familiarity with USPTO procedures; international IP experience a plus.
Strong drafting, research, and communication skills.
Ability to work independently, manage multiple projects, and meet deadlines.
Interest in working with startups, founders, and social enterprises.
Engagement Details

Associate - Data Privacy
Position Summary
Correa Legal, LLC is seeking an Associate with experience in data privacy and information governance to support our clients in meeting their privacy, cybersecurity, and compliance obligations. The Associate will work on a flexible, contract basis and will assist with regulatory assessments, drafting privacy documentation, and advising on compliance strategies. This role is ideal for a licensed attorney or legal professional with a strong interest in privacy law, technology, and working with early-stage companies.Key Responsibilities
Draft and review privacy policies, terms of service, data processing agreements, and related compliance documents.
Advise clients on U.S. (CCPA/CPRA, HIPAA, GLBA, etc.) and international (GDPR, UK GDPR, etc.) privacy frameworks.
Assist with vendor due diligence, subcontractor privacy reviews, and cross-border data transfer compliance.
Conduct risk assessments and gap analyses of client privacy and data security practices.
Support clients with incident response preparedness and breach notification requirements.
Research emerging privacy laws and regulations and prepare client updates.
Collaborate with team members to ensure data privacy considerations are integrated into broader legal advice.
Qualifications
J.D. degree and admission to at least one U.S. state bar (preferred).
1–3+ years of experience in data privacy, cybersecurity, or regulatory compliance.
Familiarity with major privacy frameworks (GDPR, CCPA/CPRA, HIPAA, etc.); CIPP/US, CIPP/E, or other IAPP certification is a plus.

Associate - Investment and Fundraising
Correa Legal, LLC is seeking an Associate with experience in early-stage venture financing to support our startup and social enterprise clients. The Associate will work on a flexible, contract basis and will assist with fundraising transactions, including convertible notes, SAFEs, Series Seed, and Series A priced equity rounds. This role is ideal for a licensed attorney or legal professional with a strong background in venture financing and an interest in working with founders and mission-driven companies.
Key Responsibilities
Draft, review, and negotiate fundraising documents, including convertible notes, SAFEs, stock purchase agreements, investor rights agreements, voting agreements, and related transaction documents.
Advise clients on deal structures, valuation terms, and investor rights for seed and Series A rounds.
Support due diligence processes and maintain closing checklists for financing transactions.
Coordinate with clients, investors, and opposing counsel to manage deal execution.
Prepare corporate governance documents, including board consents, stock issuances, and cap table updates.
Research and provide guidance on regulatory compliance issues related to fundraising (e.g., securities laws, accredited investor requirements).
Assist in developing fundraising strategies and educating clients on market norms and best practices.
Qualifications
J.D. degree and admission to at least one U.S. state bar (preferred).
2–4+ years of experience in venture financing or corporate transactions (law firm or in-house).
Strong knowledge of early-stage fundraising instruments (SAFEs, convertible notes, Series Seed, Series A).
Excellent drafting, negotiation, and project management skills.
Ability to manage multiple deals simultaneously and work independently.
Interest in supporting startups, founders, and social enterprises.
